An implementation regulation of the new Company Law (“Law No. 40/2007”) that specifically provides the mechanism for the announcement of newly established limited liability companies was issued by the Minister of Law and Human Rights (“MLHR”) on 21 September 2007. The regulation is Regulation No. M-02.HT.01.10 of 2007 regarding Procedures for the Announcement of a Limited Liability Company in the Supplement of the State Reports (“Regulation M-02”).
Regulation M-02 sets forth that the execution of the authority to announce a limited liability company which under Law No. 40/2007 resides with the MLHR, is delegated to the Director General of Legislation.The documents pertaining to the limited liability company which must be published in the State Reports include the deed of establishment along with the Ministerial Decision legalizing the establishment; the amended articles of association along with the respective Ministerial Decision; and / or the amended Articles of Association which has been notified to the Minister. The regulation sets forth the procedure for the announcement/publication including the time frame.Regulation M-2 became effective on 21 September 2007, which is the date of its issue.
